GENERAL TERMS
Welcome to HONEST CORPORATE SERVICES. By accessing our website, using our services, or making payments for any service, you agree to comply with the following Terms & Conditions, Privacy Policy, Refund Policy, Confidentiality Policy, and Disclaimer Policy.
· HONEST CORPORATE SERVICES provides Business Registration, Business Licences, Taxation, Accounting, Compliance, Intellectual Property, Loan Assistance, Insurance Assistance, Information Technology (IT) Services, Digital Services, and Corporate Consultancy services in India.
· All services are provided based on the information and documents submitted by the client. Clients are responsible for providing accurate, complete, and updated information required for processing services.
· Goods and Services Tax (GST) shall be applicable on all service charges as per Government regulations. GST Invoice and Input Tax Credit (ITC) will be provided wherever applicable, subject to submission of a valid GSTIN at the time of payment.
· Government fees, stamp duty, filing fees, professional charges, DSC charges, certification fees, licence fees, and any other statutory charges payable to Government authorities or third parties are separate and shall be informed to the client before processing or filing.
· Service timelines may vary depending on Government approvals, department processing time, technical issues, third-party verification, or client response time.
· HONEST CORPORATE SERVICES do not guarantee approval, registration, licence issuance, loan sanction, insurance approval, trademark registration, patent approval, or acceptance by any Government authority, bank, financial institution, insurance company, or regulatory department.
· Clients must review and verify all applications, forms, returns, agreements, and documents before submission or filing.
· Additional charges may apply for objections, notices, hearings, resubmissions, penalties, corrections, modifications, urgent processing, or additional work beyond the agreed scope of service.
· Information Technology (IT) Services including Website Development, Mobile App Development, Digital Marketing, and Software Consulting are provided based on client requirements and agreed project scope. Any third-party software, hosting, domain, API, advertisement, or maintenance charges shall be payable separately wherever applicable.
· The company reserves the right to refuse, suspend, or discontinue services in cases of non-payment, misuse, fraudulent activity, non-cooperation, or violation of applicable laws.
By availing our services, the client agrees to the applicable terms, policies, pricing, and conditions of HONEST CORPORATE SERVICES.
RESPONSIBLE USE
· All information and documents submitted by you are true, correct, and updated.
· You are responsible for maintaining confidentiality of login credentials and account information.
· You shall not misuse, hack, duplicate, copy, reproduce, or resell our services, website content, software, or resources. Any unauthorized use is strictly prohibited.
· Any unauthorized use of our platform may result in termination of services and legal action.
HONEST CORPORATE SERVICES reserves the right to refuse or discontinue services in case of fraudulent, misleading, illegal, or unethical activities.
LIMITATION OF LIABILITY
All services provided by HONEST CORPORATE SERVICES are offered on an “as available” and “best effort” basis.
HONEST CORPORATE SERVICES, including its Director’s/partners, employees, associates, or representatives, shall not be held liable for any of the following:
· Delays caused by Government departments, authorities, or third-party agencies
· Technical issues, portal downtime, server failures, or system errors beyond our control
· Rejection, resubmission, or objections raised by Government authorities
· Errors, omissions, or false/incomplete information submitted by the client
· Penalties, fines, or legal consequences imposed by statutory authorities due to client non-compliance
· Business interruption, loss of profits, loss of opportunity, or any indirect or consequential damages
· Delays arising from third-party verification processes, DSC providers, banks, payment gateways, or external service providers
The client shall be solely responsible for ensuring that all documents, information, and declarations submitted to HONEST CORPORATE SERVICES are accurate, complete, and lawful.
Under no circumstances shall the total liability of HONEST CORPORATE SERVICES exceed the amount actually paid by the client for the specific service giving rise to the claim.
TRADEMARK, COPYRIGHT & INTELLECTUAL PROPERTY SERVICES For Trademark, Copyright, Patent, and other Intellectual Property related services: · Fees mentioned are applicable for one application or one class only, unless otherwise specifically stated. · Approval, registration, examination, or certification is subject to the discretion and approval of the respective Government authorities or registries. · HONEST CORPORATE SERVICES do not guarantee approval, registration, objection clearance, hearing success, or final certification of any application. · Any objections, examination reports, oppositions, hearings, refusals, or delays by Government authorities are beyond our control. · Clients are solely responsible for verifying the accuracy, completeness, and legality of all information, documents, and details submitted before filing. · Additional Government fees, professional fees, hearing charges, reply filing charges, or legal expenses may apply in case of objections, oppositions, renewals, or further proceedings.
INCORPORATION & REGISTRATION SERVICES The following terms apply to Company Registration, LLP Registration, GST Registration, Partnership Firm Registration, MSME Registration, Startup Registration, and other business registration services: · Government fees, stamp duty, and statutory charges vary depending on the state, authorized capital, and type of service. · DSC (Digital Signature Certificate), DIN (Director Identification Number), and filing charges are subject to applicable Government and MCA regulations. · Approval of company names, registrations, trademarks, licenses, or any application is solely subject to approval by the respective Government authority. · Clients are responsible for providing accurate documents, information, and timely responses required for processing the application. · Additional Government fees, professional charges, certification fees, or compliance-related charges shall be payable separately wherever applicable. · Statutory Auditor appointment is mandatory for companies as per the provisions of the Companies Act, and related professional fees shall be charged separately. · Authorized capital fees, ROC filing fees, and other statutory charges are subject to revision as per MCA and Government regulations. · HONEST CORPORATE SERVICES do not guarantee approval, registration, or issuance of any certificate, license, or incorporation by the concerned authority.
TAX & COMPLIANCE SERVICES
For GST, Income Tax Return (ITR), TDS, PF, ESI, ROC, Accounting, and other Compliance Services:
· Pricing may vary depending on turnover, volume of transactions, employee count, and the nature of services required.
· Clients are required to verify all returns, statements, and documents before filing or submission.
· Any advice or consultation provided is based solely on the information and documents furnished by the client.
· Clients are solely responsible for ensuring timely statutory compliance and adherence to due dates.
· HONEST CORPORATE SERVICES shall not be held liable for any penalties, notices, losses, or legal consequences arising due to delayed, incomplete, or incorrect information provided by the client.
· All applicable government fees, taxes, penalties, interest, late fees, and additional filing charges shall be borne by the client.
· Clients must provide accurate, complete, and updated information/documents required for filing and compliance purposes.
TERMINATION OF SERVICES HONEST CORPORATE SERVICES reserves the right to suspend or terminate services if the client provides false, misleading, incomplete, or fraudulent information. · Services may be terminated if the client fails to provide required documents, approvals, or information within the specified time. · Non-payment or delayed payment of service fees, government fees, or other applicable charges may result in suspension or termination of services. · The company reserves the right to discontinue services in case of misuse, unlawful activities, abusive behaviour, or violation of applicable laws by the client. · Clients may request termination of services by providing written communication or email confirmation. · Any work completed, government fees paid, or professional charges incurred before termination shall be non-refundable. · Upon termination, the client remains responsible for all pending dues, statutory liabilities, and compliance obligations. · HONEST CORPORATE SERVICES shall not be liable for any losses, penalties, or damages arising after termination of services. · The company reserves the right to retain documents or records until all outstanding payments are cleared.
FORCE MAJEURE
HONEST CORPORATE SERVICES shall not be liable for any delay, interruption, or failure in providing services due to events beyond its reasonable control.
· Such events include, but are not limited to, natural disasters, floods, fires, earthquakes, pandemics, epidemics, or acts of God.
· Delays caused by government authorities, regulatory changes, legal restrictions, or changes in applicable laws shall also be considered Force Majeure events.
· Technical issues such as server failures, software errors, cyber-attacks, internet disruptions, or power outages are covered under this clause.
· Strikes, labour disputes, transportation disruptions, or failure of third-party service providers may also affect service timelines.
· HONEST CORPORATE SERVICES shall not be responsible for any losses, penalties, or damages arising from such unforeseen events.
· Service timelines and delivery schedules may be extended during the period of the Force Majeure event.
· The company shall make reasonable efforts to resume normal services as soon as possible after the situation is resolved.
GOVERNING LAW
These Terms & Conditions shall be governed by the laws of India.
Any disputes arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.
CHANGES TO TERMS HONEST CORPORATE SERVICES reserves the right to modify these Terms & Conditions at any time without prior notice. Continued use of services after modifications constitutes acceptance of updated terms.
